MISSION

The Chief Legal Officer Officer is responsible for keeping company activities in compliance with new legislation.

Compliance to internal rules &regulations and other applicable laws in force

To negotiate, prepare and review contracts, agreements and other legal documents.

Being the Chief Legal Officer , he/ she handle strategic leadership and work closely with legal staff, the board of directors and company executives.


COMPETENCIES & OUTCOMES


√ Drafts the legal documents of the Shareholders' resolution;

√ Provide legal support and legal opinion to the financial institution’s Management and Departments on daily basis

√ Provide legal advice and opinion to business units by advising on new product development, drafting and reviewing legal terms and conditions of these products and related promotional campaigns, reviewing marketing materials for such products and campaigns, and advise on legal issues arising from dealings with customers. Ensure that products and services offered by the financial institution duly comply with rules and regulations

 √ Provide legal advice and support on general litigation issues arising from different legal proceedings against third parties

 √ Draft and vet commercial agreements entered into by the financial institution with business partners, service providers and suppliers arising from the above

 √ Advise the human resources department on employment law and labor and benefit issues

 √ Fosters the implementation of best corporate governance principles across financial institution, ensures establishment and/or update of any policy and/or procedure related to Corporate Governance issues that may be required by applicable legislation and/or regulatory framework

 √ Ensures that all regulations, resolutions and procedures are registered and updated;

√ Acquaints with new laws and provides management with sound advice on all aspects of corporate governance and legislative requirements;

√ It is ensured that the financial institution operates according to the Statute and the applicable legislation;

√ Keeps and controls all manuals of the institution

√ Provides legal support to the Management and departments of the institution on a daily basis

√ Provides legal opinions in the cases defined in the internal regulations;

√ Provides and interprets legal information and distributes appropriate legal requirements to staff;


TASK

√ To ensure compliance to the current legislation, solving legal matters regarding the activity of the financial institution according to the current legislation.

√ To provide legal advice and ensure that the financial institution’s legal interests are protected in the best possible manner.

√ To negotiate, prepare and review contracts, agreements, and other legal documents


MAIN REQUIREMENTS

  •  University degrees in Law; Master of Science in Jurisprudence;
  •  Minimum 3 years of experience, preferably in banks or other financial institutions;
  •  Good access to third parties (Government, ministry, parliament, media, political parties, business associations, etc.)
  •  Very good knowledge of banking law, commercial law and other applicable laws
  •  Very good command of the English language
  •  Very good Microsoft package commands
  •  Strong analytical, planning and project management skills;
  •  The ability to react to unexpected events
  •  Strong presentation and interpersonal skills
  •  Strong written and verbal skills in Albanian and English
  •  Able to work under pressure
  •  Ability to communicate effectively with employees of all levels within the institution to fulfill job responsibilities.
  •  Performs any other work assigned by the Management;
