Legal Manager

At BDO Thailand our Tax & Legal Team is focused on providing holistic support for our clients.

We work with large MNCs and SMEs to provide them support on tax and corporate legal matters.

We are a full-service firm providing support from setting up of entities, ensuring companies understand and comply with local regulations, and even support when they plan to downsize or liquidate.

1. Mergers & Acquisitions (M&A)

• Lead and manage legal aspects of M&A transactions, including acquisitions, divestitures, joint ventures, restructurings, and strategic investments.
• Conduct legal due diligence and identify legal risks and mitigation strategies.
• Draft, review, negotiate, and finalize transaction documents (i.e. Share Purchase Agreements, Asset Purchase Agreements, Joint Venture Agreements, Shareholders' Agreements)
• Coordinate with external legal counsel, tax and financial advisors, and regulatory authorities.
• Support post-acquisition integration and corporate restructuring activities.

2. Foreign Direct Investment (FDI)

• Advise management on foreign investment regulations and market entry strategies.
• Structure and implement foreign investment projects in compliance with applicable laws and BOI/FBL/IEAT/TOA/investment promotion requirements.
• Manage establishment of legal entities, joint ventures, representative offices, and branch offices.
• Liaise with government agencies and regulatory authorities regarding foreign investment approvals and compliance matters.

3. Corporate Affairs & Company Registration

• Oversee corporate secretarial matters.
• Prepare and review Board resolutions, Shareholders' resolutions, Minutes of meetings,
• Ensure compliance with corporate laws and regulatory requirements.
• Manage company registration, corporate restructuring and related filings with DBD, RD, SSO and Customs authority.

4. Operational Licenses & Regulatory Compliance

• Manage applications, renewals, amendments, and compliance requirements for mandatory operational and business-specific licenses (e.g., VAT, factory licenses, industrial permits, e-commerce, tourism, or sector-specific regulatory permits)
• Coordinate with authorities regarding business, industrial, environmental, and operational permits.
• Advise on regulatory requirements impacting business operations.
• Conduct legal compliance reviews and recommend corrective actions.

5. Contract Management

• Draft, review, and negotiate commercial agreements to protect the company's interests.
• Develop and maintain contract templates and legal documentation standards.
• Provide practical legal advice to business stakeholders on contractual matters.

• Education: Bachelor of Laws (LL.B.) or equivalent; an LL.M. or relevant advanced legal degree is highly preferred.
• Experience: 6–9 years of post-qualification experience (PQE) in corporate/commercial law, with a proven track record in M&A, FDI, BOI/FBL applications, operational licensing, and land matters.
• Core Expertise: Deep, hands-on experience in corporate structuring, cross-border transactions, regulatory compliance, operational permits, and due diligence management.
